Welcome to StageFriend. These Terms and Conditions govern your use of the application and services provided by Contäxt Tech & Design, operating as StageFriend, hereafter referred to as “the Company”, “we”, “us”, or “our”.

By accessing or using StageFriend (including Web, PWA, and Mobile versions), you agree to be bound by these terms. If you do not agree, please do not use the service.

1. User Accounts and Eligibility

By using the service, you represent and warrant that you are at least 13 years of age. If you are under the age of 18, you may only use the service with the consent of a parent or legal guardian.

To use certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.

2. User Content and Copyright

StageFriend allows you to upload, store, and organize song lyrics, chords, and setlists (“User Content”).

Ownership

You retain all ownership rights to your User Content. We do not claim any ownership over your songs, lyrics, or setlists.

Responsibility

You are solely responsible for the content you upload. You represent and warrant that you own or have the necessary licenses, rights, and permissions to use and store such content on our platform.

Copyright Infringement

The Company does not pre-screen content. We respect intellectual property rights and expect our users to do the same. We reserve the right to remove any content that is alleged to infringe on a third party's copyright or other intellectual property rights.

Sharing and Collaboration

Stagefriend allows you to share User Content with other users (e.g., band members). Ownership of the shared content remains with the original uploader unless otherwise agreed between the parties. By sharing content, you grant invited users a limited, non-exclusive right to access and use that content within the service.

The original uploader (or account owner) retains the right to revoke access to shared content at any time. The Company is not responsible for disputes between users regarding ownership or access to shared content.

3. Acceptable Use

You agree to use StageFriend only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the service in any way that violates any applicable national or international law or regulation
  • Transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the service
  • Attempt to gain unauthorized access to our systems, other user accounts, or computer systems or networks
  • Use any robot, spider, or other automatic device to access the service for any purpose
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful

4. Disclaimers and Limitation of Liability

“As Is” Basis

StageFriend is provided on an “as is” and “as available” basis. While we strive for 100% uptime and reliability, we do not guarantee that the service will be uninterrupted, timely, secure, or error-free.

Live Performance Disclaimer

The Company shall not be held liable for any damages or losses (including, but not limited to, professional or financial loss, loss of reputation, or loss of income) resulting from technical failures, service interruptions, or data loss during live performances, rehearsals, or any other use of the service.

We strongly recommend maintaining backup copies of important content and testing the service before critical performances.

Maximum Liability

To the extent permitted by Swedish law, the Company's total liability for any claims arising out of or relating to these Terms or your use of the service shall not exceed the amount paid by you to use the service during the 12 months prior to the claim, or €100, whichever is greater.

5. Subscriptions and Payments

StageFriend may offer both free and paid subscription tiers. If you purchase a paid subscription:

  • Payment Processing: Payments will be processed through third-party providers (e.g., Apple App Store, Google Play, or Stripe).
  • Billing Disputes: All billing disputes should be directed to the respective payment platform provider.
  • Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.
  • Price Changes: We reserve the right to modify subscription prices. Existing subscribers will be notified of any changes via email or through the respective app store platform before the new price takes effect.

6. Data Backup and Loss

While we implement industry-standard security measures and backup procedures, we cannot guarantee that your data will never be lost or corrupted. You are responsible for maintaining your own backup copies of important content.

The Company shall not be liable for any loss of data, whether due to technical failure, security breaches, or any other cause.

7. Termination

We reserve the right to suspend or terminate your account and access to the service at our sole discretion, without notice, for conduct that we believe:

  • Violates these Terms and Conditions
  • Is harmful to other users, third parties, or the Company
  • Violates applicable laws or regulations
  • Exposes the Company to legal liability

Upon termination, your right to use the service will immediately cease. We may delete your account and all associated data in accordance with our Privacy Policy.

8. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

9. Third-Party Services

StageFriend may integrate with or offer links to third-party services (such as Spotify, Dropbox, Google Drive, SongSelect, or iCloud).

Your use of these third-party services is governed by their respective terms and conditions and privacy policies. We do not control, and are not responsible for, the content, availability, or practices of any third-party services.

Search and Import Tools

The service may provide tools to search for and import lyrics, chords, or other data from the public internet. These tools are provided for your convenience only. StageFriend does not host, own, or license the content found through these tools. You are responsible for ensuring that your use and storage of any imported content complies with applicable copyright laws and the terms of the original source.

10. Mobile App Store Terms

If you access StageFriend via an app distributed through the Apple App Store or Google Play Store, you acknowledge that these Terms are between you and the Company only, and not with the store provider. Your use of the app must also comply with the respective store's terms of service (e.g., Apple's Usage Rules).

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of the service shall be resolved in Swedish courts, with the District Court of Mora/Falun (Dalarna) as the first instance.

12. Changes to These Terms

We may update our Terms and Conditions from time to time. We will notify users of any significant changes by:

  • Posting the new Terms on this page
  • Updating the “Last updated” date at the top of this page
  • Sending an email notification to registered users (for material changes)

Your continued use of the service after any changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of StageFriend.
